If your situation is unusual, ask us before you buy — we would rather lose the sale than sell you the wrong filing.
Choose an LLC if profits flow to you and you are not raising outside money — it is cheaper and simpler. Choose a C-Corp if you will issue stock options, take institutional investment, or want to retain earnings inside the company. Converting later is possible but costs meaningfully more than starting correctly.
Delaware has a dedicated business court, decades of predictable case law, and standard documents that every U.S. investor already recognises. It is not cheaper — the franchise tax starts at $175 and scales — but it removes negotiation friction.
